Terms of Service & Refund Policy
These Terms of Service (hereinafter referred to as the "Terms") govern the rights, obligations, and responsibilities between RefScout AI (hereinafter referred to as the "Company") and users (hereinafter referred to as "Members" or "Users") regarding the use of the Chrome browser extension and web-based short-form algorithmic predictive analytics SaaS service (hereinafter referred to as the "Service") provided by the Company, as well as billing, payment, and refund policies.
These Terms have been prepared in compliance with the laws of the Republic of Korea, including the Act on the Consumer Protection in Electronic Commerce, the Framework Act on the Content Industry, and the Act on the Regulation of Terms and Conditions. In the event that the operating entity is subsequently transferred or updated to a Canadian or other overseas corporation/sole proprietorship, these Terms shall remain effective subject to statutory notice and procedural updates regarding governing law and business entity details.
Chapter 1: General Provisions
Article 1 (Purpose)
The purpose of these Terms is to establish the conditions, procedures, rights, obligations, and responsibilities governing the use of the RefScout AI Chrome Browser Extension and Web Dashboard platform (refscoutai.com), including paid subscriptions, cancellation, and refund policies.
Article 2 (Definitions)
- "Service" refers to the RefScout AI Web Dashboard and Chrome Extension, which analyze publicly accessible metadata from short-form video platforms (such as TikTok) on the client side to deliver algorithmic predictive analytics, including Breakout Potential Scores (PoB scores), recency decay curves, follower-normalized reach metrics, and recommended video durations.
- "Member" refers to an individual or entity who agrees to these Terms, completes the authentication process specified by the Company (such as Google OAuth), creates an account, and uses the Service.
- "Subscription" refers to a recurring billing agreement that grants continuous access to paid features (such as query credits, unlimited queries, saved video queues, or dashboard analytics) across designated billing cycles (monthly or annual).
- "Credit" refers to the digital service unit consumed when initiating a query or specific analysis task (such as extension keyword searches, web dashboard queries, or channel audits) within the Service.
- "Payment Gateway (PG)" refers to third-party payment service providers (e.g., PayPal, credit card processors) that process transactions on behalf of Members.
Article 3 (Publication and Amendments to the Terms)
- The Company shall make the contents of these Terms readily accessible to Members by publishing them in the footer of the Service website (refscoutai.com/terms) and within the settings menu of the Chrome Extension.
- The Company may amend these Terms to the extent that such amendments do not violate applicable laws, including the Act on the Consumer Protection in Electronic Commerce and the Act on the Regulation of Terms and Conditions.
- In the event of an amendment, the Company shall announce the effective date and reasons for the amendment alongside the current Terms at least seven (7) days prior to the effective date (or at least thirty (30) days prior if the amendment is unfavorable to Members) via website notices or registered email.
- If a Member does not agree to the amended Terms, they may terminate their service agreement (delete account/cancel subscription). Continued use of the Service after the effective date without explicit objection shall be deemed as acceptance of the amended Terms.
Chapter 2: Service Use and Account Management
Article 4 (Formation of the Service Agreement)
- The Service Agreement is entered into when an applicant agrees to these Terms, completes the sign-up process via Google OAuth or other company-designated procedures, and the Company approves the application.

The Company may withhold or reject approval under any of the following circumstances:
- Registration using another person's identity, email, or credentials;
- Indications of unauthorized scraping, reverse engineering, or illicit exploitation of the Company's systems for improper commercial gain;
- Severe operational or technical impediments to delivering the Service.
Article 5 (Account Management and Security)
- Members bear full responsibility for managing their login credentials and Google OAuth authentication sessions.
- Single-user plans (Basic Plan and Pro Plan) are strictly personal and cannot be shared, leased, transferred, or sold. The Company reserves the right to restrict access or request verification if abnormal simultaneous logins across multiple IPs/devices are detected.
- Multi-seat collaboration is permitted exclusively on the Enterprise Plan (up to 5 seats). The designated workspace administrator is responsible for allocating and managing seat credentials within the authorized limit.
Chapter 3: Paid Plans and Billing
Article 6 (Paid Services and Pricing Structure)

The Company offers three subscription tiers. Specific details and allowances are outlined
on the pricing page (refscoutai.com/pricing):
- Basic Plan: $39.00 USD/month (Annual billing: equivalent to $29.00/month, billed upfront as a single charge of $348.00/year). Includes 60 Universal Queries/month.
- Pro Plan (Advanced Individual): $79.00 USD/month (Annual billing: equivalent to $59.00/month, billed upfront as a single charge of $708.00/year). Includes unlimited queries for 1 individual user seat.
- Enterprise Plan: $249.00 USD/month (Annual billing: equivalent to $199.00/month, billed upfront as a single charge of $2,388.00/year). Includes unlimited queries for up to 5 team seats (team workspaces and collaboration coming soon).
- All subscription fees are billed in US Dollars (USD) or local currency equivalents via PayPal and authorized payment gateways on an automated recurring basis.
Article 7 (Recurring Billing and Renewals)
- When a Member purchases a recurring subscription plan, the subscription automatically renews at the expiration of each billing cycle (monthly or annually) using the registered payment method.
- Members may cancel automatic renewal (cancel subscription) at any time through the web dashboard account settings or their PayPal management console.
- Upon cancellation of auto-renewal, the Member shall retain access to paid features until the expiration of the current paid billing cycle.
Chapter 4: Cancellation and Refund Policy (Compliant with Korean E-Commerce Law)
Article 8 (Principles Governing Digital Content and Statutory Withdrawal)
- The Services and data provided by the Company constitute "services or digital content" pursuant to Article 17, Paragraph 2, Subparagraph 5 of the Act on the Consumer Protection in Electronic Commerce and Article 21 of its Enforcement Decree.
- Unused Subscriptions (Full Refund Eligibility): A Member may request a full refund within seven (7) days of initial payment only if zero (0) search queries or credits have been consumed and no analytical data has been retrieved/rendered since the transaction date.
- Restriction on Statutory Withdrawal (Commencement of Service): If a Member executes one (1) or more keyword searches, channel audits, or analytical queries following payment, the delivery of digital content is legally deemed to have commenced. In accordance with Article 17, Paragraph 2, Subparagraph 5 of the Act on the Consumer Protection in Electronic Commerce, the right of statutory withdrawal (refund due to simple change of mind) is legally restricted. The Company provides clear notice of this restriction on the checkout screen and within these Terms.
Article 9 (Mid-Term Termination and Prorated Refunds)

Monthly Recurring Subscriptions:
- Once a query has been executed (1 or more searches completed) during the active month, no prorated refund is provided for the current billing month.
- Cancellation of the monthly subscription stops future recurring billings starting with the subsequent cycle.

Annual Upfront Subscriptions:

If an annual subscriber requests mid-term cancellation due to change of mind after the
commencement of service, settlement shall be calculated in accordance with the Act
on Door-to-Door Sales, etc. and the Fair Trade Commission's Continuous Contract
Guidelines using the following formula:
Refund Amount = Actual Paid Annual Amount − (Months Used × Standard Monthly Rate)
- "Months Used" is rounded up to the nearest whole month based on the monthly billing anniversary date.
- If the calculated refund amount is equal to or less than $0.00 USD, no refund shall be issued.

If an annual subscriber requests mid-term cancellation due to change of mind after the
commencement of service, settlement shall be calculated in accordance with the Act
on Door-to-Door Sales, etc. and the Fair Trade Commission's Continuous Contract
Guidelines using the following formula:
- Refunds Due to Company Fault: In the event of continuous service disruption exceeding twenty-four (24) consecutive hours attributable directly to Company system failures or infrastructure downtime, the Member may receive a full refund or a proportional refund for the unfulfilled service period.
Article 10 (Refund Request Procedures)

To request a refund, the Member must submit an inquiry to the official billing desk

[email protected]) with the following information:
- Registered account email address;
- Transaction receipt number or PayPal Transaction ID;
- Detailed reason for the refund request.
- The Company will review query consumption logs and session records, and notify the Member of approval or rejection within three (3) business days.
- Approved refunds will be credited back through the original payment method (PayPal reversal or credit card refund). Final processing may require 3 to 7 business days depending on the financial institution.
Chapter 5: Acceptable Use and Data Policy
Article 11 (Fair Use Policy)
- For Pro and Enterprise tiers offering unlimited queries, automated abuse (including automated bot scripts, unauthorized macro tools, or programmatic scraping of RefScout AI's endpoints) is strictly prohibited to maintain server integrity and service quality for all users.
- If repetitive, automated requests exceeding 1,000 queries per month are detected from a single seat, the Company reserves the right to apply temporary rate limiting or request verification of legitimate manual usage.
Article 12 (Intellectual Property and Nature of Analytical Data)
- All intellectual property rights pertaining to the Service, proprietary regression algorithms, PoB (Probability of Breakout) scoring models, user interfaces, branding, and logos belong exclusively to the Company.
- All predictive scores, recency indicators, and recommended video lengths are statistical estimates derived from mathematical regression models. They do not constitute an official endorsement, publication, or guarantee from TikTok, nor do they guarantee exact future video views. The Company shall not be held liable for indirect or consequential damages arising from variance in statistical predictions.
Chapter 6: Indemnification and Dispute Resolution
Article 13 (Limitation of Liability)
- The Company shall be exempted from liability for failure to provide the Service due to force majeure, including natural disasters, abrupt UI/API deprecations by third-party social platforms (e.g., TikTok), distributed denial-of-service (DDoS) attacks, or statutory restrictions.
- The Company shall not be liable for service disruptions caused by reasons attributable to the Member (e.g., local browser conflicts, VPN blocks, or violation of account terms).
Article 14 (Governing Law and Jurisdiction)
- These Terms and the Service Agreement between the Company and Members shall be governed by and construed in accordance with the laws of the Republic of Korea.
- Any dispute arising out of or related to these Terms shall first be resolved through good-faith mutual negotiations. If a resolution cannot be reached, the competent court of first instance shall be determined in accordance with the Civil Procedure Act of the Republic of Korea (or the Seoul Central District Court).
